COUNTRY: Montserrat

Montserrat Offshore Company

Legal form: An IBC Ordinance was legislated in Motserrat in 1985 to make provisions for the incorporation and operation of International Business Companies (IBCs). An IBC may only be incorporated as a company limited by shares. Under the law, offshore IBCs that  do not: carry on business with persons in Montserrat, other than leasing office space,  accept banking deposits from persons resident in Montserrat, accept contracts of insurance from persons resident in Montserrat, are totally exempted from Montserrat’s regular income taxes.

Name of the company: Montserrat companies’ names must end with one of the following words, or their relevant abbreviations - Limited, Corporation, Incorporated, Societe Anonyme, Sociedad Anonima, etc. Names may be in any language as long as Roman characters are used and any standard corporate suffix is acceptable. The following words cannot be used in the name of Montserrat company: 'Trust', 'Bank', 'Insurance'. Furthermore, words such as 'Foundation', 'Charity' and others may be prohibited pursuant to the discretion of the Registry. Names denoting any connection to local, state or national Governments are generally prohibited.

Memorandum and Articles of Association: Any person may singly or jointly with others incorporate a company in Montserrat by subscribing to a Memorandum and to a set of Articles, and submitting them to the Montserrat Registrar of International Business Companies. Upon registration, the Registrar will issue within three working days a certificate of incorporation under its hand and seal certifying that the company is a going concern. The company owner is required to state the precise nature of the business in which the proposed corporation will engage, the country or countries in which it will carry on business, and the names, addresses and occupations of the persons who will be shareholders, directors and managers of the company. The company's beneficial owner(s) is required to give a written undertaking that the company will not be used for any criminal activity and a written undertaking indemnifying IBCF from liability for acts performed as registered agents on behalf of the company. The above is strictly for internal purposes and is not a matter of public record.

Shareholders: A minimum of two shareholders are required which may be individuals or bodies corporate. The details of company beneficial owners and shareholders are not part of the public records.

The share capital: Although it is not required by law to declare the authorized capital for Montserrat IBCs the standard authorized share capital is US$ 50,000. The authorized share capital may be expressed in any currency. The minimum issued share capital is either one share of no par value or one share of par value. Montserrat  International Business Companies may issue registered shares, bearer shares, preference shares, and redeemable shares, shares with or without par value and shares with or without voting rights. A company incorporated under the IBC Ordinance must state in its articles whether share certificates will be issued. Share certificates must be signed by two directors or two officers of the company, or by one director and one officer. A company need not issue share certificates, if it so chooses, and may simply record the names of the shareholders in its share registrar. In the case of bearer shares, the total number of shares outstanding issued to bearer must be recorded in the share register along with:

(a)     the identifying number of the certificates;

(b)     the date of issue of the certificates;

(c)     the number of each class or series of bearer share issued to bearer.

Directors of the company: Montserrat IBC requires a minimum of one director and corporate directors are permitted. The names of directors do not appear on the public file. There is no requirement to have resident directors.

Registered office and local agent/secretary: IBC Ordinance requires that a company have a registered office and a registered agent at all times in Montserrat. Only a barrister, solicitor or chartered accountant practicing in Montserrat, or a company registered under the Company Act as a trustee and has an authorized capital of not less than $250,000, may act as an agent. Agents may be dismissed or replaced with a resolution of the company directors. A written notice containing the name and address of the new agent must be sent to the Registrar within 30 days.

Taxation: Notwithstanding any provisions of the Montserrat Income Tax Ordinance (1967), a company incorporated under the (IBC) Ordinance, 1985 is exempt from all provisions of the Income Tax Ordinance, 1967 (as amended), the Exchange Control Ordinance, Cap.115, the Foreign Currency Levy Ordinance 1980 and the Stamp Act, Cap 238. Such exemption from all taxes to continue for a period of not less than 25 years from the date of incorporation.

Audit and financial returns: Whilst there is no requirement to file audited accounts or annual returns with the authorities, a company is required to keep financial records, which should reflect the financial position of a company.

Meetings: The directors and the shareholders meetings need not be held in Montserrat. All meetings may be held outside Montserrat by telephone or other electronic means. Alternatively, directors and shareholders may vote by proxy.
